Permanent Establishment

If an employee works out of a different jurisdiction then where the employer is based, it can create a permanent establishment (PE) for the employer in the employee's country of residence / where the employment activities take place.


This can trigger non-employment tax implications, e.g. corporate tax, VAT etc. The particular implications will need to be assessed on a case-by-case basis based on the legislation of the local jurisdiction. In the situation where a PE is recognized, typically employer obligations (e.g. a payroll obligation for wage/income tax purposes) in that country are triggered. It is therefore highly recommended to have any PE risk assessed upfront, before allowing employees to perform their employment activities in a different jurisdiction.

 

Equity Compensation

Equity-based compensation has become an important, and often sizeable, part of employee compensation packages. As companies focus more on “pay-for-performance,” equity-based compensation offers employers the ability to align employee performance directly to company performance.


Equity compensation can come in various forms. The differing qualifications given to these awards and the complexity with how they operate can cause confusion for employees and have important (fiscal) implications for employers. Careful planning is therefore essential.


It’s important for employers and employees to understand the different kinds of commonly granted equity-based compensation, as not all types receive the same tax treatment. Whether (or when) equity-based compensation results in taxable compensation to the recipient and whether the company gets a tax deduction are all dependent on the type of equity-based compensation that has been awarded.
